OFFICIAL ANNOUNCEMENT — Sale of Tisserin Distribution

After more than three years of work, industrial commitment and financial investments , the CN Textil Group announces that it has sold 51% of the shares of its subsidiary TISSERIN DISTRIBUTION to its partner, the Arc en Ciel Group* (and other close associates of the group) , which already held 49% of the capital, in order to take 100% control of the company .

This operation marks a natural and strategic evolution of the joint project carried out around the Atelier Tisserin brand .

During these years, the CN Textil Group has played a key role in establishing an ambitious industrial component , true to its DNA. With high standards and pride, our teams have helped push the artistic and creative boundaries of the products , while building a solid industrial foundation, an essential condition for the long-term success of a brand with a strong identity.

The launch of Atelier Tisserin, deliberately postponed several times, has always responded to the same logic: never compromise on quality, consistency and industrial requirements .

Today, a balanced agreement has been reached between the parties, allowing each to fully refocus on its core business . For the CN Textil Group, this represents a deliberate return to a purely industrial posture , perfectly in line with its primary vocation.

In this context, the CN Textil Group remains fully committed to the Atelier Tisserin project , as a manufacturer and distributor on the French market , making available its production capacities, know-how, industrial and logistical expertise; with the same involvement and the same pride.

This operation illustrates a common vision: to structure projects sustainably, to respect the expertise of each individual, and to create the conditions for healthy and coherent development.

The CN Textil Group thanks all the teams and partners involved in this adventure, and is delighted to continue this collaboration in a form now fully aligned with the DNA of each.

“After three years of co-managing Tisserin Distribution with Mr. Vainer, we encountered several successive challenges. Each challenge was absorbed, overcome, and transformed into a solution. This approach resulted in a first successful catalog, a finalized product, industrialized and completed by mid-2025, which will be distributed in England starting in 2026. But over time, different interests emerged. And when visions diverge, the only responsible decision is to protect the brand, guarantee its continued and smooth development, and prevent energy from being dissipated. CN brought to Tisserin Distribution industrial expertise, sourcing, design, textile engineering, production methods, as well as a level of execution that pushed us to exceed our limits. We know what it takes in terms of resources, capital, time, networks, and operations to take a brand beyond the prototype stage: we do it every day.” At the same time, our group has developed ancillary activities, new verticals, and business extensions that deserve to be retained internally and leveraged for our own brands. It was therefore logical to secure our expertise and technological advancements. This is why we reached a simple and responsible agreement with the Arc-en-Ciel Group: – CN Group resumes its natural position as an industrial supplier, Arc-en-Ciel becomes the exclusive driver of the brand ecosystem, and we continue to guarantee execution, production, supply chain, and technical rigor, without any conflict of interest. Arc-en-Ciel will benefit from our infrastructure: logistics, factories, methods, processes, and industrial capacity. We will benefit from a clear, transparent relationship, refocused on what we do best: producing, delivering, and guaranteeing quality. This is a mature decision. A consistent decision.
